End User License Agreement

This End User License Agreement ("License") is between you and Septilink Inc. and its affiliates (“Septilink”, “we” or “us”). This License governs your use of the Septilink mobile application and any updates, together with related documentation (the "App"), when obtained through the Apple App Store. The App is licensed, not sold, to you.

1. Relationship to the Septilink Terms and Privacy Statement

This License covers your installation and use of the App on your device. Your use of the Septilink Services accessed through the App — and the commercial, data, warranty, liability, and dispute-resolution terms of your relationship with Septilink — is governed by the Septilink Terms and Conditions at septilink.com/legal/terms (the "Terms") and the Septilink Privacy Statement at septilink.com/legal/privacy, each of which is incorporated into this License by reference. Capitalized terms not defined here have the meanings given in the Terms. If this License conflicts with the Terms or the Privacy Statement, the Terms govern all commercial, warranty, liability, and dispute-resolution matters, and the Privacy Statement governs all matters concerning personal information and privacy, in each case other than the device-level software license granted below, except that where Apple's minimum license terms in the Apple-Specific Terms below require otherwise, those minimum terms control solely as between you and Apple.

2. License Grant

Subject to your compliance with this License, the Terms, and timely payment of all applicable fees, Septilink grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App on any Apple-branded product that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, for your own personal or internal business use only. This License does not permit you to use the App on any device you do not own or control.

3. Restrictions

You may not, and may not permit others to: copy the App except as expressly permitted by this License; modify, adapt, translate, or create derivative works of the App; reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent this restriction is prohibited by applicable law or permitted by the license terms governing any open-source components; rent, lease, lend, sell, redistribute, sublicense, or otherwise transfer the App; remove, alter, or obscure any proprietary notices; or use the App in any way that violates the Terms, this License, or applicable law. If you sell or transfer your device to a third party, you must first remove the App. Any attempt to act outside the scope of this License violates Septilink's and its licensors' rights.

4. Ownership

The App is licensed, not sold. Septilink and its licensors retain all right, title, and interest in and to the App, including all intellectual property rights, and reserve all rights not expressly granted to you. Your rights in data handled through the App are addressed in the data provisions of the Terms and are not changed by this License.

5. Updates

This License governs any updates Septilink provides that replace or supplement the App, unless an update is accompanied by a separate license, in which case that license governs.

6. Privacy

Septilink's collection and use of personal information through the App, including precise location data, is described in the Privacy Statement at septilink.com/legal/privacy. By using the App you acknowledge, and agree to, that Statement.

7. Warranty, Liability, and Disputes

The warranty disclaimers, the limitation of liability, and the governing-law, venue, and dispute-resolution provisions of the Terms apply to your use of the App and are incorporated here. To the extent permitted by law, and subject to the mandatory-consumer-law provisions of the Terms, Septilink's total liability arising out of or relating to the App is limited as set out in the limitation-of-liability provisions of the Terms. This License is governed by the laws of the State of Texas, without regard to conflicts-of-laws principles, as provided in the governing-law provisions of the Terms.

8. Export Compliance

You represent that you are not located in a country subject to a U.S.-Government embargo or designated a "terrorist supporting" country, and that you are not listed on any U.S.-Government list of prohibited or restricted parties. You will not use or export the App except as authorized by United States law and the laws of the jurisdiction in which the App is used.

9. Apple-Specific Terms

You and Septilink acknowledge the following with respect to the App obtained through the Apple App Store:

(a) This License is concluded between you and Septilink only, and not with Apple. Septilink, not Apple, is solely responsible for the App and its content.

(b) Apple has no obligation to furnish any maintenance or support services for the App. Septilink is solely responsible for product support and any warranty to the extent required by this License and the Terms; Apple has no warranty obligation whatsoever.

(c) In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the App purchase price to you (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.

(d) Septilink, not Apple, is responsible for addressing any claims by you or a third party relating to the App or your possession or use of it, including product-liability claims, claims that the App fails to conform to a legal or regulatory requirement, claims under consumer-protection or similar law, and intellectual-property infringement claims.

(e) Septilink, not Apple, is responsible for investigating, defending, settling, and discharging any third-party claim that the App or your use of it infringes that third party's intellectual property rights.

(f) You represent that you are not located in a prohibited country and are not on a prohibited-parties list, as stated in the Export Compliance section above.

(g) You must comply with applicable third-party terms of agreement when using the App, and with the Apple Media Services Terms and Conditions and Usage Rules.

(h) Apple and Apple's subsidiaries are third-party beneficiaries of this License, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce this License against you as a third-party beneficiary.
